The Treat Yourself! Contest (the Contest) is held by Cadillac Fairview Corporation Limited. The Contest runs from April 25, 2008 to September 5, 2008 at midnight.

PRIZE ELIGIBILITY

The Contest is open to residents of Canada who have reached the legal age in their province, excluding (a) employees, contractors, agents and/or representatives of Cadillac Fairview, their shareholders and their respective shareholder affiliates, associated companies, advertising and promotional agencies, internet service providers and their distributors or (b) a member of the immediate family (defined as a mother, father, brothers, sisters, sons, daughters and husband or wife), or any person with whom they are domiciled, of any individual described in (a). Contest is void where prohibited by law. Odds of being selected are dependent on the total number of eligible entries received by the Contest closing date. Limit of one prize per household. The prizes available to be won are listed below.

No purchase necessary. Only one online entry is allowed per person. Multiple online entries from the same person will void all entries from that person. By entering the contest, you confirm having read the contest rules and consenting to its terms and conditions.

REGISTRATION

The Contest runs April 25, 2008 to September 5, 2008 at midnight. The monthly contest draws "3 chances to win a $100 shop! card" will take place in Toronto, Ontario, draw dates are on June 2, 2008, draw on July 1, 2008, draw on August 10, 2008, draw on September 1, 2008. The Grand Prize draw will be held on September 8, 2008. All draw time will be approximately 10am EST from all eligible entries received by the Contest closing date. Odds of winning depend on the total number of eligible entries received.

CONTEST ENTRY

You may enter the Contest:
Via the Internet, by visiting www.shops.ca. Entries must be received between, April 25, 2008 to September 5, 2008 at midnight. Answer the questions in the Contest Questionnaire (-Questionnaire-) found on the website. You will receive an e-mail confirming your entry.

PRIZES

Limit of one prize per household. The number of prizes available to be won and the approximate retail value of each prize is as follows.

Please note if the winner is located in the province of Manitoba, the value of the prize will be awarded in Canadian dollars. This is only for the province of Manitoba. This is not applicable to any other province.

DRAW SCHEDULE NOTIFICATION AND DISTRIBUTION

Monthly Draws:

A random draw will be held on June 2, 2008, on July 1, 2008, on August 10, 2008, on September 1, 2008 at approximately 10:00am EST Head Office of Cadillac Fairview, 20 Queen Street West, Toronto, Ontario M5H 3R4 from all eligible entries received before the contest closing date.

Selected entrants will be notified within 14 days of the draw by phone and/or e-mail. In the event that a selected entrant has not been contacted to claim his or her prize within 3 days of the last telephone call or e-mail, after a minimum of three attempts by Cadillac Fairview Corporation Limited, or if the selected entrant does not otherwise comply with the rules and regulations, another random draw or draws will be conducted to select a replacement winner in the same manner.

Grand Prize:

A random draw will be held on September 8, 2008 at approximately 10:00am EST at the Head Office of Cadillac Fairview, 20 Queen Street West, Toronto, Ontario M5H 3R4 from all eligible entries received before the contest closing date for the Grand Prize package.

Selected entrants will be notified within 14 days of the draw by phone and/or e-mail.

Grand Prize winner will be notified by e-mail and/or by telephone, at the e-mail address or telephone number indicated on their respective entry registration forms. The prize winner will be given instructions on how to contact Cadillac Fairview Corporation Limited, to claim his or her prize. In the event that a selected entrant has not been contacted to claim his or her prize within 3 days of the last telephone call or e-mail, after a minimum of three attempts by Cadillac Fairview Corporation Limited, or if the selected entrant does not otherwise comply with the rules and regulations, another random draw or draws will be conducted to select a replacement winner in the same manner. Prizes will be distributed within sixty (60) days after the prize winner claims his or her prize. Prize will only be given to the confirmed winner. All decisions of the Cadillac Fairview Corporation Limited shall be final. Winner is responsible for all applicable federal, provincial and municipal taxes.

SKILL-TESTING QUESTION

Before being declared a winner, selected entrants must first correctly answer a time limited mathematical skill testing question {(24/2)+6 = } to be administered by telephone and/or by e-mail.

WINNING

Selected entrants are required to sign a Waiver and Release, releasing the Cadillac Fairview Corporation Limited, their advertising and promotional agencies, the affiliates of the foregoing and all the respective directors, officers, shareholders, owners, partners, employees, agents, representatives, successors and assigns (collectively, the "Releases") from any liability in connection with this Contest or the prize. The winning individuals accept to sign a liability waiver form exonerating the organizers from all accountability.

PRIZE SUBSTITUTION

Prizes must be accepted as awarded. No substitution of prizes is permitted except by Cadillac Fairview Corporation Limited, in their sole discretion. Cadillac Fairview Corporation Limited, reserves the right to substitute any prize with another prize of equal or greater value. Prizes are not redeemable for cash or credit, in whole or in part. Prizes must be accepted as awarded and may not be transferred.

PUBLICITY, USE OF REGISTRATION INFORMATION

By accepting a prize, each winner consents to the use by Cadillac Fairview Corporation Limited, and their advertising and promotional agencies of his or her name, address, voice, statements and photograph, other likeness and information provided for advertising and promotional purposes and grants Cadillac Fairview Corporation Limited, the right to publish his or her proper name, city and province online and in print, or any other media, in connection with the Contest, the whole without further compensation, subject to applicable law.

SECURITY

You may only enter this Contest via the Internet if your browser permits connection to a secure, industry- standard SSL-enabled server. Cadillac Fairview Corporation Limited, assumes no responsibility for tampering, theft, defects, human errors including extreme negligence, deletions, technical or telephone problems, undeliverable messages, computer errors, lost, misdirected, late or incomplete entries or for any online difficulties that may result in the failure to consider an entrant for any of the prizes offered. Further, Cadillac Fairview Corporation Limited, reserves the right to modify or cancel the Contest without prior notice and subject to applicable law, and is not responsible for production or printing errors, technical, hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete, garbled or delayed computer transmissions including lost, misappropriated or corrupted entries, virus damage or any other damage which may limit a participant's ability to participate in the Contest. Cadillac Fairview Corporation Limited is not responsible for entries that are incomplete, lost, misdirected or destroyed.

EMAIL ENTRIES

Entrants will be deemed to be the authorized account holder of the e-mail address submitted on the Registration Form at the time of registration. "Authorized account holder" is the natural person to whom an e-mail address is assigned by an Internet access provider, online service provider, or other organization (e.g., business, educational institution etc.) responsible for assigning individual e-mail addresses for the domain associated with the submitted e-mail address. All entries become the property of Cadillac Fairview, and will not be returned to entrants. A potential winner may be requested to provide Cadillac Fairview, with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

GOVERNING BODIES

This Contest is subject to all Federal, Provincial and Municipal laws. Void where prohibited by law.

Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcohols, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

CAUTION

Any attempt by an entrant or any other person to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Cadillac Fairview Corporation Limited, reserves the right to claim damages from any such person to the fullest extent permitted by law.

LIMITATION OF LIABILITY

By entering, entrants acknowledge and agree that the Releases shall not be responsible for, and all entrants shall hold them harmless from, any and all claims, damages, including compensatory, direct, incidental, consequential or other damages, liabilities, costs and expenses ("losses") with respect to or in any way arising from or in connection with the Contest or related prizes. Without limiting the generality of the foregoing. Releases shall in no way be considered responsible for any losses in connection with (i) incorrect or inaccurate information for any reason, including if caused by website users or by any of the equipment including programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions in the Contest, (ii) problems or technical malfunction of any telephone network or communications line failure, computer on-line-systems, servers or providers, computer equipment, software, data transmission failure of e-mail, or any technical problems or traffic congestion, (iii) error, omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction or authorized access to, or alteration of, entries or (iv) damages to entrants or to any other person, including damages to their computer system, related to or resulting from entering, participating or downloading materials in this Contest. For greater certainty, the Releases shall not be responsible for lost, late, incomplete, illegible, incomprehensible or misdirected entries, bugs, failures in servers, hardware or software transmission failure or loss, delayed or corrupted data transmission.

If for any reason, the Contest cannot run as planned or the prizes cannot be awarded, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Cadillac Fairview Corporation Limited which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest. Subject to applicable law, Cadillac Fairview Corporation Limited reserves the right to cancel, terminate, modify or suspend the Contest at any time without prior notice to the entrants.

PRIVACY

Your privacy is very important to us. Your personal information will be used, if requested by you, to contact you regarding future programs, contests, promotions and events by The Cadillac Fairview Corporation Limited and/or its affiliates ("Cadillac Fairview"). It will also be used for Cadillac Fairview's internal marketing research purposes. Your personal information will remain confidential to Cadillac Fairview Corporation Limited. It may, however, be disclosed to any entity that acquires Cadillac Fairview or any of its individual properties provided such entity similarly agrees to protect your privacy. We may also use third parties to process some aspect of the personal information for our use, provided that they similarly agree to protect your privacy.
